Terms of Service for ReplaiBot

These Terms of Service (“Terms”) govern your access to and use of our Chrome extension, web application, website, and related services (collectively, the “Service”).

By creating an account, installing the Chrome extension, purchasing a subscription, or using ReplaiBot, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Purpose of the Service

ReplaiBot provides software tools that help businesses and individuals:

  • Generate AI-powered responses to customer reviews
  • Manage online reputation across supported platforms
  • Monitor review activity and sentiment
  • Improve efficiency in handling customer feedback
  • Analyze reputation trends and performance metrics

ReplaiBot is a software assistance tool. It does not guarantee business growth, increased ratings, customer conversions, improved rankings, or any specific commercial outcome.

2. Eligibility and Account Registration

To use the Service, you must:

  • Be at least 18 years old or the legal age in your jurisdiction
  • Have authority to act on behalf of your business or organization (if applicable)
  • Provide accurate and complete registration details
  • Keep your login credentials secure

You are responsible for all activity that occurs under your account.

We may suspend or terminate accounts containing false information, abuse, fraud, or misuse of the Service.

3. Chrome Extension and Platform Integrations

ReplaiBot may connect with third-party websites, browsers, business profiles, review platforms, or APIs in order to provide features.

You acknowledge that:

  • Third-party platforms operate independently from ReplaiBot
  • Their policies, terms, and technical changes may affect our Service
  • We are not responsible for outages, restrictions, bans, API changes, or data limitations caused by third parties

Use of third-party services remains subject to their own terms.

4. AI-Generated Content

ReplaiBot uses artificial intelligence to generate suggested replies, summaries, and insights.

You understand and agree that:

  • AI outputs may be inaccurate, incomplete, generic, or unsuitable in some cases
  • You should review content before publishing
  • You remain fully responsible for any content posted through your business accounts
  • ReplaiBot does not assume responsibility for customer disputes, reputational harm, legal claims, or losses arising from posted responses

AI suggestions are assistance tools, not legal, PR, or business advice.

5. Subscription Plans, Billing, and Renewals

Certain features require a paid subscription.

By subscribing, you agree that:

  • Fees are charged based on the plan selected at checkout
  • Billing may be monthly, annual, or otherwise disclosed during purchase
  • Subscriptions renew automatically unless canceled before renewal
  • Taxes may apply depending on your location
  • Payment processors may handle billing securely on our behalf

Failure of payment may result in suspension, downgrade, or termination of access.

We reserve the right to update pricing for future billing cycles. Any pricing changes will not retroactively affect already-paid periods.

6. Free Trials and Promotional Access

We may offer free plans, trial periods, credits, or temporary promotions.

These offers may be modified, limited, or withdrawn at any time unless prohibited by law.

7. Acceptable Use

You agree not to use ReplaiBot to:

  • Post deceptive, false, defamatory, abusive, or unlawful content

  • Violate platform rules or local laws
  • Reverse engineer, disrupt, or exploit the Service
  • Attempt unauthorized access to systems or accounts
  • Use automated means to overload our infrastructure

We may suspend accounts that violate this section.

8. User Content and Rights

You retain ownership of content you upload, submit, or connect to the Service, including reviews, brand voice instructions, and business data.

You grant ReplaiBot a limited license to process such content solely to:

  • Operate the Service
  • Generate replies and analytics
  • Improve functionality
  • Provide customer support

You represent that you have the rights necessary to provide such content.

9. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy.

By using ReplaiBot, you consent to the processing of data necessary to provide the Service, including review content, connected account metadata, and usage analytics.

10. Availability and Support

We aim to provide reliable service, but we do not guarantee uninterrupted or error-free availability.

Maintenance, updates, security events, browser changes, third-party outages, or technical issues may temporarily affect functionality.

Support is provided through channels listed on our website and may vary by plan.

11. Intellectual Property

All rights, title, and interest in ReplaiBot, including software, branding, design, features, and documentation, remain the property of ReplaiBot or its licensors.

You may not copy, resell, sublicense, reproduce, or create derivative works from the Service except as allowed by law or with written permission.

12. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, ReplaiBot disclaims all warranties, express or implied, including warranties of:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of outputs
  • Uninterrupted access

We do not guarantee that use of the Service will improve ratings, rankings, visibility, revenue, or reputation.

13. Limitation of Liability

To the fullest extent permitted by law, ReplaiBot and its affiliates shall not be liable for:

  • Indirect or consequential damages
  • Loss of profits, revenue, data, goodwill, or reputation
  • Customer disputes arising from published responses
  • Third-party platform penalties or restrictions
  • Business interruption

Our total liability for claims arising from the Service shall not exceed the amount paid by you to ReplaiBot during the 12 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless ReplaiBot from claims, liabilities, losses, and expenses arising from:

  • Your misuse of the Service
  • Content you publish
  • Violation of law or third-party rights
  • Breach of these Terms

15. Suspension and Termination

We may suspend or terminate access immediately if:

  • You violate these Terms
  • Payment fails repeatedly
  • Your use creates legal, technical, or security risk
  • Required by law

You may cancel your subscription at any time. Cancellation prevents future renewals but does not automatically refund past payments unless required by law.

16. Changes to the Service or Terms

We may modify features, pricing, or these Terms from time to time.

When material changes are made, we will update the effective date and may notify users through email, dashboard notice, or website announcement.

Continued use after changes become effective means you accept the updated Terms.

17. Governing Law

These Terms shall be governed by the laws of India, unless otherwise required by applicable consumer law.

Any disputes shall be subject to the courts located in Delhi, India.
